End-User License Agreement

LEGAL NOTICE: This End-User License Agreement ("EULA") is provided for informational purposes and should be reviewed by qualified legal counsel before reliance in production or contractual settings. Effective Date: June 10, 2026 Last Updated: June 10, 2026 ──────────────────────────────────────────────────────── 1. AGREEMENT TO TERMS ──────────────────────────────────────────────────────── This End-User License Agreement ("EULA") is a legal agreement between Margin One Consulting ("Margin One," "Licensor," "we," "us," or "our") and the individual or organization that accesses or uses the Margin One Client Operating System ("M1COS," pronounced "Me-Kos") platform, client portal, admin tools, APIs, and related services (collectively, the "Platform"). By creating an account, clicking "I agree," accessing the Platform, or using M1COS on behalf of a company, you ("Licensee," "you," or "your") agree to be bound by this EULA. If you accept on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not access or use the Platform. This EULA supplements our Terms of Service (https://www.margin.one/terms) and Privacy Policy (https://www.margin.one/privacy). If you have a separate written Master Services Agreement, subscription order, or enterprise license with Margin One, that agreement controls in the event of conflict for the parties to it. ──────────────────────────────────────────────────────── 2. PLATFORM DESCRIPTION ──────────────────────────────────────────────────────── M1COS is a cloud-hosted software-as-a-service ("SaaS") platform designed for home service contractors in the HVAC, plumbing, and electrical trades. The Platform provides operational intelligence tools including dashboards, KPI tracking, scorecards, goals, meeting notes, document management, embedded reporting, integration connectors, and related features as made available by Margin One from time to time. Margin One may update, modify, or discontinue features with reasonable notice where practicable. The Platform is a business tool for authorized users of subscribing organizations ("Tenants"), not a consumer application. ──────────────────────────────────────────────────────── 3. LICENSE GRANT ──────────────────────────────────────────────────────── Subject to your compliance with this EULA and payment of applicable fees (when billing is enabled), Margin One grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your organization's internal business operations during the subscription or engagement term. This license does not convey ownership of the Platform or any Margin One intellectual property. All rights not expressly granted are reserved by Margin One. ──────────────────────────────────────────────────────── 4. RESTRICTIONS ──────────────────────────────────────────────────────── You shall not, and shall not permit any third party to: • Copy, modify, adapt, translate, or create derivative works of the Platform or its software, except as expressly permitted in writing by Margin One; • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform, except to the extent such restriction is prohibited by applicable law; • Rent, lease, lend, sell, sublicense, distribute, or make the Platform available to third parties on a service bureau, time-sharing, or outsourcing basis; • Use the Platform to develop, train, or offer a competing product or service; • Scrape, crawl, harvest, or use automated means to access the Platform without prior written consent; • Circumvent access controls, tenant isolation, rate limits, or security measures; • Access accounts, data, or tenants you are not authorized to access; • Upload malware, interfere with Platform operation, or perform penetration testing without written authorization; • Use the Platform in violation of applicable law, third-party rights, or our acceptable use standards; • Remove or alter proprietary notices, branding, or attribution. Violation of these restrictions may result in immediate suspension or termination of access. ──────────────────────────────────────────────────────── 5. ACCOUNTS AND ACCEPTABLE USE ──────────────────────────────────────────────────────── You are responsible for: • Providing accurate registration information and keeping credentials confidential; • All activity under your account and credentials; • Ensuring users you invite comply with this EULA; • Promptly notifying support@margin.one of unauthorized access or security incidents. Acceptable use requires lawful, professional, and business-purpose activity. You may not use the Platform to store or transmit unlawful content, harass others, send spam, or process data you lack rights to use. ──────────────────────────────────────────────────────── 6. MULTI-TENANT RESPONSIBILITIES ──────────────────────────────────────────────────────── M1COS operates in a multi-tenant architecture. Each Tenant is a separate organization with logically isolated data. • Tenant administrators are responsible for provisioning users, assigning roles, configuring integrations, and managing Tenant Data; • Tenant administrators must ensure users access only data within their authorized tenant and role; • Margin One platform administrators may access Tenant systems when necessary to operate, secure, support, and improve the Platform, as described in our Privacy Policy; • Tenants remain responsible for compliance with laws applicable to data they upload, sync, or store in M1COS, including data about their employees, customers, and vendors. Margin One is not responsible for disputes between users within a Tenant or between Tenants. ──────────────────────────────────────────────────────── 7. CUSTOMER DATA AND INTELLECTUAL PROPERTY ──────────────────────────────────────────────────────── A. Customer Data "Customer Data" means information, files, metrics, and content that you or your users submit to or sync through the Platform. You retain ownership of Customer Data. You grant Margin One a limited license to host, process, transmit, display, and backup Customer Data solely to provide, secure, and improve the Platform and fulfill our agreements with you. B. Margin One IP The Platform, including software, user interface, designs, documentation, trademarks, logos, and all related intellectual property, is owned by Margin One or its licensors. No title or ownership transfers under this EULA. C. Feedback If you provide suggestions or feedback, you grant Margin One a perpetual, royalty-free license to use it without restriction or compensation. ──────────────────────────────────────────────────────── 8. THIRD-PARTY INTEGRATIONS ──────────────────────────────────────────────────────── The Platform may connect to third-party services including, without limitation, QuickBooks Online (Intuit), Housecall Pro, Google (Ads, Analytics, Search Console, Local Services Ads, Looker Studio), Meta Ads, Yelp, n8n automation, and email/SMS providers. • Integrations are optional and enabled at Tenant direction; • Third-party services are governed by their own terms and privacy policies; • Margin One does not control and is not responsible for third-party availability, accuracy, security, or data practices; • OAuth tokens and integration configuration may be stored in tenant-scoped settings to maintain connections you authorize; • You are responsible for maintaining valid authorizations with third-party providers. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARGIN ONE DISCLAIMS LIABILITY ARISING FROM THIRD-PARTY INTEGRATIONS, INCLUDING DATA LOSS, SERVICE OUTAGES, API CHANGES, OR INACCURATE REPORTING — EXCEPT WHERE LIABILITY CANNOT BE DISCLAIMED UNDER APPLICABLE LAW OR IS EXPRESSLY ASSUMED IN A WRITTEN AGREEMENT. ──────────────────────────────────────────────────────── 9. SUBSCRIPTION, FEES, AND TERMINATION ──────────────────────────────────────────────────────── Access to the Platform may be provided under a consulting engagement, pilot, subscription plan, or enterprise agreement. When billing features are enabled, fees, payment terms, and renewal periods will be specified in your order or agreement. Margin One may suspend or terminate access if you breach this EULA, fail to pay applicable fees, pose a security risk, or if required by law. Upon termination: • Your license ends immediately; • You must cease use of the Platform; • Margin One may delete or retain Customer Data according to our Privacy Policy, backup schedules, and legal obligations; • Sections that by nature should survive (including IP, disclaimers, limitation of liability, and indemnity) will survive. You may request export of Customer Data before termination where the Platform provides export capability and applicable law requires. ──────────────────────────────────────────────────────── 10. CONFIDENTIALITY ──────────────────────────────────────────────────────── Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes of the relationship. Confidentiality obligations do not apply to information that is public, independently developed, or lawfully received from a third party without restriction. ──────────────────────────────────────────────────────── 11. WARRANTY DISCLAIMER ──────────────────────────────────────────────────────── THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARGIN ONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MARGIN ONE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT INTEGRATION DATA WILL BE ACCURATE OR COMPLETE. YOU USE THE PLATFORM AT YOUR OWN RISK. ──────────────────────────────────────────────────────── 12. LIMITATION OF LIABILITY ──────────────────────────────────────────────────────── TO THE MAXIMUM EXTENT PERMITTED BY LAW: • MARGIN ONE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MARGIN ONE FOR THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100), IF NO FEES HAVE BEEN PAID; • MARGIN ONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the fullest extent permitted by law. ──────────────────────────────────────────────────────── 13. INDEMNIFICATION ──────────────────────────────────────────────────────── You agree to indemnify, defend, and hold harmless Margin One and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: • Your or your users' use of the Platform; • Customer Data or content you submit; • Breach of this EULA or applicable law; • Unauthorized integration connections or misuse of third-party credentials; • Disputes between your organization and its users or customers. Margin One may assume exclusive defense of any matter subject to indemnification; you will cooperate reasonably. ──────────────────────────────────────────────────────── 14. EXPORT AND COMPLIANCE ──────────────────────────────────────────────────────── You represent that you are not located in, under control of, or a national or resident of any country subject to U.S. embargo or on any U.S. government restricted-party list. You will comply with applicable export control and sanctions laws. ──────────────────────────────────────────────────────── 15. GOVERNING LAW AND DISPUTES ──────────────────────────────────────────────────────── This EULA is governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to this EULA or the Platform shall be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts, except where applicable law requires otherwise. Nothing in this section prevents either party from seeking injunctive relief for misuse of intellectual property or unauthorized access. ──────────────────────────────────────────────────────── 16. CHANGES TO THIS EULA ──────────────────────────────────────────────────────── Margin One may update this EULA from time to time. Material changes will be posted at https://www.margin.one/eula with an updated "Last Updated" date. Continued use of the Platform after the effective date constitutes acceptance of the revised EULA, subject to applicable law. If you do not agree to changes, you must stop using the Platform. ──────────────────────────────────────────────────────── 17. GENERAL ──────────────────────────────────────────────────────── • Entire Agreement — This EULA, together with applicable Terms of Service, Privacy Policy, and any signed enterprise agreement, constitutes the entire agreement regarding Platform licensing unless superseded in writing. • Severability — If any provision is unenforceable, the remainder remains in effect. • No Waiver — Failure to enforce a provision is not a waiver. • Assignment — You may not assign this EULA without Margin One's consent. Margin One may assign in connection with a merger, acquisition, or sale of assets. • Force Majeure — Margin One is not liable for delays or failures due to events beyond reasonable control. ──────────────────────────────────────────────────────── 18.
